According to recent announcements from Galaxy Digital Holdings Ltd., the U.S. Securities and Exchange Commission (SEC) has validated its registration statement (Form S-4). This approval pertains to Galaxy’s strategic repositioning and relocation from the Cayman Islands to Delaware, in addition to its plans to list on Nasdaq. The upcoming transition will result in the reorganization of the company under the new entity, Galaxy Digital Inc.—a Delaware holding company.

Notably, the company will convene a special shareholder meeting on May 9, 2025, at 10:00 AM Eastern Time to seek approval for this fundamental reorganization, termed the “Special Meeting.” Following this pivotal event, Galaxy Digital anticipates that its shares will commence trading on Nasdaq under the ticker symbol GLXY, provided that all reorganization conditions are met. This move signifies a significant milestone towards enhancing its operational framework and market visibility.
